CONDITIONS OF CARRIAGE
- (a) ‘Carrier’ means AusPac Transport and its subsidiary and associated company, (ABN 77 668 326 716 and ABN 17 657 599 276) carrying on business in its own name or under any other business name. The expression ‘carrier’ will include its servants, agents, sub-contractors and including the railways operated by the Commonwealth or any State.
- (b) ‘Consignor’ means the party entering into the contract of Services with the Company, being either the shipper, the owner of the goods or their authorised agent.
- (c) ‘Consignee’ means the person or company to whom the goods are officially sent or delivered.
- (d) ‘Services’ means the whole of the operations undertaken by the Carrier in respect of the goods, including but not limited to packing, unpacking, road, rail, sea or air carriage, storage, freight forwarding, customs clearance and de-consolidation of any goods on behalf of the Consignor and any other services provided by the Carrier.
- a- The Carrier is not a Common Carrier and will accept no liability as such. All Goods are carried or transported and all Storage and other services are performed by the Carrier subject to these terms and conditions.
- b- Subject to clause j, the Carrier excludes from these terms and conditions all conditions, warranties and terms implied by statute, general law or custom.
- c- Subject to clause j, the Carrier excludes all liability to the Customer for acts or omissions of the Carrier in tort (including negligence), contract bailment or otherwise for loss of, damage to or deterioration or contamination of the Goods, or any delay, non-delivery or other failure to supply the Goods or arising out of the Goods, or these terms and conditions.
- d- Subject to clause j the Carrier excludes all liability for, and the Customer releases and indemnifies the Carrier against all loss, damage, costs and expense from any claim by the Customer in tort (including negligence), contract, bailment or otherwise for loss or damage to any property, injury to, or death of any person arising out of the acts or omissions of the Carrier or any or all of the Goods, any delay, non-delivery or other failure to supply the Goods, deterioration, damage, contamination or loss of Goods or any failure arising or delay out of the Storage of the Goods.
- e- The exclusions, releases and indemnities in clauses b, c and d extend to loss of profits, business or anticipated savings or any other indirect or consequential damage and to economic loss and even if the Carrier knows they are possible or otherwise foreseeable.
- f- These terms and conditions apply in all circumstances arising from a fundamental breach of contract or breach of a fundamental term.
- g- The Carrier in addition to acting for itself, also acts as agent of and trustee for each of its servants, agents, Sub – Contractors so these conditions, including any exclusions or limitations of liability, to the same extent as the Carrier even if the Carrier breaches any of these terms and conditions, all the rights, immunities and limitations of liability in these term s and conditions continue to have their full force and effect in all circumstances.
- h- The Carrier is not liable for, nor bound by, any instructions to collect cash on delivery or any other payments for the Customer.
- i- Notwithstanding anything herein contained, the Carrier shall continue to be subject to any implied warranty provided by the Trade Practices Act 1974 (as amended) if and to the extent that the said Act is applicable to these terms and conditions and prevents the exclusion restriction or modification of that warranty.
- j- The provisions governing all arrangements and agreements between the parties are subject to Force Majeure. Force Majeure shall include but not be limited to an act of God, strike, lockout, act of public enemy, war, blockade, act of terrorism, revolution, riot, insurrection, civil commotion, lightning, fire, storms, Standard Terms and Conditions flood, explosion, act of State, government restraints and restrictions, embargoes, availability or equipment, plant, goods and the like, or any other cause, all such events not being reasonably within the control of the party claiming benefit of the same.
1.3 All articles are carried or transported, and all storage or other services are performed by the Carrier subject only to these conditions.
1.4 The Carrier reserves the right to refuse the carriage or transport of goods for any person, corporation or company and the carriage or transport of any class of goods at its discretion.
2. These conditions, together with any special instructions and the agreement between the parties as to price, shall contain the entire and only agreement between the parties in respect of this carrier of goods and any representation promise condition or warranty in connection therewith not incorporated herein shall not be binding upon either party.
3. In the event that the carrier does not himself carry the goods then he is hereby appointed the agent of the Consignor for the purpose of entering into a contract or carriage on behalf of the Consignor with any other Carrier provided that such contract of carriage shall contain the same terms and conditions as this agreement except as to price and that the Carrier shall be responsible for all charges payable to such further Carrier and shall be paid the price upon in respect of this carriage of goods notwithstanding any arrangement pursuant to this clause.
4. Where forwarding is delayed under instructions from the Consignor or by circumstances beyond the control of the Carrier, the goods may be warehoused or stored at the Carrier’s sole discretion and at the Consignor’s expense.
- (a) The Consignee refuses, fails or neglects to take delivery of the goods or
- (b) Delivery of the goods cannot be affected because the Consignee is dead, cannot be found or located either because the address given is insufficient or incorrect or because he is absent from the address given and his whereabouts cannot be immediately ascertained or because the goods are otherwise not identifiable, or
- (c) It becomes necessary to sell or otherwise deal with the goods either according to the instructions of the Consignor or otherwise pursuant thereto.
- (a) Where instructions from the Consignor with respects to disposing of perishable goods are not or cannot be obtained within a reasonable time having regard to the nature and condition of the goods then such perishable goods may be sold or otherwise disposed of without notice to the Consignor, Consignee or owner of the goods and payment or tender of the net proceeds of any sale after deduction of all charges and expenses incurring in the sale of the goods or otherwise disposing of the goods and also of charges and expenses which may be due or owing or payable to the Carrier under these terms and conditions shall be equivalent to delivery and
- (b) Where instructions from the Consignor with respects to disposing of non-perishable goods are not received before the expiration of twenty-one days from the date of the sending of the notice in writing by the Carrier to the Consignor at the address given hereon as his address, then the Carrier may sell such goods or return them to the Consignor at the Carrier’s option and where goods are sold payment or tender of the net proceeds of any sale after deduction of all charges and expenses which may be due owing or payable to the Carrier under these terms and conditions shall be equivalent to delivery.
- (c) A communication in writing from any agent of the Carrier that the goods cannot be delivered for any reason shall be conclusive evidence of the fact, for the purpose of this sub-clause.
19. Non-Solicitation: In this provision, staff means any person, driver, or company/consignee representative who at any time during the period of 12 months prior to the cessation of this agreement was a staff of the Company/Consignee in respect of the part or parts of the business in which you were provided a service. From the date this agreement ceases, and during the period the service is provided, the Customer/Consignor agrees that it will not directly or indirectly, whether for the consignor’s own benefit or for the benefit of another entity, solicit, canvass, approach (or attempt to solicit, canvass or approach) or accept an approach carriers staff, drivers for a period of 6 months
Each of the above obligations are separate and independent obligations. In the event that one or more of the obligations are found to be unenforceable, the remaining obligations will continue to apply. The Customer/Consignor acknowledges that each of the above restrictions are reasonable and necessary to protect the Company’s/Consignee’s legitimate interest.
The Customer/Consignor acknowledges that the Customer/Consignor will be liable for damages (including punitive or special damages) arising out of the breach of any of the terms of this provision.
20. Subcontracting: The Customer hereby authorizes the Carrier (if the Carrier in its discretion thinks fit to do so) to arrange with a Sub-contractor for the carriage and or Storage of any Goods. Any such arrangement shall be deemed to be ratified by the Customer upon delivery of the said Goods to such Sub-Contractor who shall thereupon be entitled to the full benefit of these terms and conditions to the same extent as benefiting the Carrier as if such provisions were expressly for their benefit. In so far as it may be necessary to ensure that such Sub-Contractor shall be so entitled, the Carrier shall be deemed to enter into this contract for its own benefit and also as agent for the Sub-Contractor.
The Customer undertakes that that no claim or allegation shall be made against any person wheresoever by whom the carriage or Storage or part of the carriage or Storage is performed or undertaken and if such claim or allegation is nonetheless made then the Customer agrees to indemnify and to keep the Carrier indemnified against all consequences thereof.
22. Variations and Waiver: The Carrier is not bound by any waiver, discharge or release of a condition or any agreement which varies these terms and conditions unless it is in writing and signed for the Carrier by an authorised officer. If the Carrier waives a breach of a condition the waiver does not operate as a waiver of another breach of the same or any other condition or as a continuing waiver.
23. Jurisdiction: These terms and conditions are governed and must be construed under the laws of the State of Victoria and the parties submit to the exclusive jurisdiction of the courts of that State.
